Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you", "Customer") and Lend-Line ("we", "us"). By creating an account, accessing, or using the Lend-Line CRM platform (the "Service") you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.

1. The Service

Lend-Line provides a hosted CRM, submission, communication, and e-signature platform for commercial finance brokers and merchants. We may update, add, or remove features at any time.

2. Accounts & eligibility

You must be 18+ and legally able to enter contracts. You are responsible for all activity under your account and for keeping credentials confidential. Notify us immediately of any unauthorized access.

4. Customer data & content

You retain all rights in the data you or your users submit ("Customer Data"). You grant us a worldwide, non-exclusive license to host, process, transmit, display, and back up Customer Data solely to provide and secure the Service. You represent you have all rights and consents necessary to submit that data (including consent to contact merchants and to store their bank details).

5. Third-party services

The Service integrates with third-party providers (Google/Gmail, Twilio, Stripe, lenders, and others). Your use of those services is subject to their own terms and privacy policies. We are not responsible for third-party services and do not guarantee their availability or accuracy.

6. Fees, wallet, and billing

Paid features require a plan and/or a prepaid wallet balance. Usage-based charges (SMS, voice minutes, AI tokens, verifications) are debited from your wallet at the rates shown in the app, which may include a markup over provider cost. All fees are non-refundable except where required by law. You authorize us and our payment processor to charge the payment method on file for recurring plan fees and auto-recharge amounts you configure.

7. Electronic communications & signatures

You consent to receive notices and disclosures electronically. All e-signatures generated through the Service are governed by the ESIGN Electronic Records & Signatures Disclosure and by the federal ESIGN Act and UETA.

8. Intellectual property

The Service, including all software, models, templates, and content we provide, is owned by Lend-Line or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription and in accordance with these Terms.

9. Suspension & termination

We may suspend or terminate access for breach of these Terms, non-payment, suspected fraud or abuse, or to comply with law. You may cancel at any time from your account. Upon termination, your right to use the Service ends immediately; sections that by their nature should survive will survive.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEND-LINE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You will indemnify and hold Lend-Line harmless from any claim arising out of your Customer Data, your violation of law, or your breach of these Terms.

13. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Any dispute will be resolved by binding individual arbitration in Delaware under the rules of the American Arbitration Association, except that either party may bring an action for injunctive relief in a court of competent jurisdiction. You waive any right to a jury trial or to participate in a class action.

14. Changes

We may modify these Terms. Material changes will be notified in-app or by email at least 15 days before they take effect (or immediately if required for security or legal reasons). Continued use of the Service after the effective date constitutes acceptance.
